Terms of Use – User Agreement

 

These terms of use are a contract entered into by and between you and CashUnited Sal (the “Company” “we” or “us”). The following terms and conditions, together with any terms by reference (collectively, the “Terms of Use”), govern your access to and use of our application denominated CU Wallet (“CU Pay Wallet” or “Wallet”), including any content, and services offered on or through the CU Pay Wallet Application, regardless of your means of access.

By utilizing the Wallet, you confirm that you meet the legal age requirement to enter a binding contract with the Company, are a resident of Lebanon, and commit to complying with both these Terms of Use and our Privacy Policy and any other terms or document, which is referenced and incorporated herein.

Eligibility Criteria

The services provided on or through the CU Pay Wallet are available exclusively to users who are at least 18 years of age, residents of Lebanon, holders of a valid passport and/or valid identification documents, and have completed the Know Your Customer (KYC) verification process.

The eligibility criteria are subject to modification, including but not limited to changes imposed by regulatory authorities, applicable laws, rules, and regulations.

Registration Process

To register for the CU Pay Wallet, you will have to follow the instructions displayed on your screen.

You guarantee, warrant, represent, and undertake that the information provided is correct and updated. You will be liable for any loss, claim, or demand arising directly or indirectly from any use or reliance upon the information.CU shall not be liable for any inaccurate, obsolete, or incomplete information.

You are permitted to hold only one e-wallet account. You acknowledge and agree that this account constitutes a payment account and does not qualify as a deposit or savings account, nor does it accrue any interest or other financial returns.

Validation Process

Notwithstanding the fulfillment of the eligibility criteria, we reserve the discretionary right to refuse the opening of an e-wallet account at our sole discretion, without obligation to provide justification, and shall bear no liability for any such decision.

You will be able to use the CU Pay Wallet if and once we have validated the required identifying information you provide to us.

We reserve our right to amend the CU Pay Wallet Application processes and conditions to use, and any service or material we provide on or through the CU Pay Wallet, at any time, at our sole discretion, and without any prior notice.

KYC

CU employs virtual Know Your Customer (KYC) procedures to authenticate and validate the identities of individuals seeking CU Pay Wallet services (hereinafter referred to as “Services”).

This procedure is conducted by us in compliance with applicable regulatory requirements to verify your identity, evaluate the nature of your activities and sources of income, and assess the risks associated with money laundering and terrorist financing.

The KYC procedures may involve employing technological methods, electronic documentation, and remote communication channels to conduct the verification process.

You acknowledge that our KYC procedures comply with relevant regulatory requirements and may be subject to adaptation or modification.

Services

By using the CU Pay Wallet Application, you can access different services including but not limited to bill settlements, mobile recharge, issuing a virtual VISA debit card and using it to purchase goods online, sending money to or request money from a friend, even if they do not have a CU Pay Wallet Application, buy goods and services through QR code scanning on a POS network, and, cash-in or cash-out money from our designated points of presence. 

You can also withdraw cash at any CU point of presence and or any of its affiliated networks, such as CU agent network and LibanPost locations.

Access to Services

Accessing all the CU Pay Wallet Services will be granted only after the registration process is completed and your profile validated.

We reserve the right to restrict access to certain parts or services if your profile is incomplete and/or for legal and compliance reasons, without incurring any liability.

Wallet General Terms of Service

Currency

Your Wallet is available for use only with LBPs (Lebanese Pounds) or Fresh USD (United States Dollars).

Top Up Process:

The top-up of your CU Pay Wallet can be made either in cash, by card, or through incoming transfer:

  • Direct deposit: you can put cash via our points of presence and/or affiliate network.
  • Card top-up: Wallet top-up in LBP can be done via a local debit or credit card. Wallet top-up in USD can be done only via a Fresh USD local Debit or Credit card or an international United States dollar debit or Credit card issued by banks duly approved by concerned payment gateways and/or payment solution providers.
  • Transfer: you can send or receive a local or international transfer from and to your CU Pay Wallet.
 

Functionalities

You may: (i) verify your identification, (ii) review and accept, or decline, transactions with us; and (iii) view your transactions history and the balance of your Wallet at any time.

Making Transactions with Your Wallet

To make any transaction with your Wallet, there must be sufficient funds in your Wallet.

Limitations on Transactions:

We retain the authority, at our sole discretion, to set limits on the number of transactions you can perform. This may be done to mitigate the risk of fraud and/or to ensure compliance with relevant laws or regulations.

We may block your transactions, notably and not restrictively, for the following reasons:

  • Your registration and/or personal details are not properly updated
  • We might suspect criminal activity on your Wallet
  • We are not legally permitted to execute the transaction
  • Your transaction exceeds available funds in your Wallet
  • You have exceeded the limit of the number of transactions and/or the amounts allowed within a specific period.

If any of the above events occur, you will be notified as soon as possible through our usual channels of communication.

To protect us and our users from loss, we may delay a withdrawal, in certain situations, including if we need to confirm that you have authorized the withdrawal or if other payments to your Wallet have been subject to a reversal (for example, as a result of a chargeback, bank or credit card reversal, or dispute by a buyer and/or a merchant). If we limit your Wallet, payment is subject to a hold, or your account or an associated account has a negative balance in any currency. While a withdrawal from your Wallet is pending, you will have to reinitiate the withdrawal once the limitation or hold has been lifted, or the negative balance is fully paid off.

We provide information on all of your transactions and help you track them directly on your CU Pay Wallet Application in the transaction history section. When executing a transaction, you acknowledge that balances and available funds reported through the CU Pay Wallet Application are only approximate real-time balances rather than settled balances in your Wallet, because a real-time balance may not take into account any pending debit or credit transactions.

Refund

When you buy something from an authorized merchant using your Wallet and the transaction is ultimately refunded, the money will be sent back to your Wallet.

Any warranty and refund policies for the products/goods distributed or sold by the authorized merchant shall only be as per the merchant’s policy and payment gateway terms and conditions. CU shall not be held liable for any claim arising and/or payment solution providers relating to any refund.

Reversal of the Transaction

Not all transactions processed on your Wallet can be refunded. Only transactions related to transferring money and cash out can be reversed as long as they are still not collected.

The reversal process requires that you request the reversal on the Wallet and once the request is approved, the refund of the face value of the transactions only excluding the service fees will then be generated.

Each person to person and cash-out transaction will remain available for a period of up to sixty days. After this time, If the beneficiary of the transfer in the points of presence does not take any action within those respective timeframes, the transaction will be automatically reversed and the face value of the amount excluding the applicable service’s fees will be released back to your Wallet.

Transaction Limits

The maximum total amount sent by each user in LBP and USD will vary depending on the applicable rules and regulations set by the Central Bank of Lebanon and/or any other applicable laws and/or regulations, or company policy.

Transaction Fees

Our fees and commissions are subject to change provided that they do not exceed the limits set by the applicable rules and regulations set by applicable laws and/or regulations.

Third-Party Providers

You (i) acknowledge that the third-party services are provided by third parties to enable you to access payment services, and (ii) agree to any third parties’ terms and conditions related to the use of the third-party services.

Third-party services are governed by separate agreements between you and each third party providing the applicable third-party services. These agreements will apply to any payment processed by them on your behalf and will form part of these Terms of Use.

Additional charges for third-party services mentioned above may apply. We do not have control over these charges.

Protect your Wallet

You are responsible for maintaining adequate security and control of any IDs, passwords, and personal codes that you use to access your Wallet

If you suspect that anyone has come to know any of them or if you lose your mobile phone or see transactions in the CU Pay Wallet Application that you have not executed, contact us immediately through our usual channels of communication.

We will never request your password, or any other user identification related to your Wallet.

If you receive any SMS or email, questionnaires, surveys, or other links requesting you to provide such information, DO NOT provide such information and contact us as soon as possible.

You must regularly update your mailing address, email address, and other contact information on your Wallet profile and undertake to immediately notify CU of any change in your personal information.

We reserve the right to disable any user identification code or password, whether created by you or provided by us, at any time, if we have reason to believe that you have failed to comply with any of the provisions of these Terms of Use.

Restrictions on the use of the Wallet

You will not knowingly or unknowingly use the Wallet, nor will you permit any third party to use the Wallet, for any illegal purposes, including, but not limited to, fraud, money laundering, terrorism, or any other unlawful activities prohibited by law or applicable regulations.

We will report any suspicious activity and cooperate with any relevant law enforcement agency or regulator.

Your Liability concerning Wallet Transactions

You warrant that you are an individual acting solely on your behalf and are acting for a purpose other than a trade, business, or profession.

You will be held liable for any loss caused by a transaction that was not authorized by you in case you have acted fraudulently, have intentionally or with negligence, or otherwise failed to comply with your obligations set out in these Terms of Use.

Force Majeure

CU shall not be liable nor be held in breach for any failure to perform its obligations under these Terms of Use where such failure is as a result of a Force Majeure event.

Force Majeure Event means an exceptional event or circumstance:

(i)   which is beyond a person’s control; or

(ii)   which, having arisen, such a person could not reasonably have avoided or overcome.

Force Majeure event may include but is not limited to an Act of Nature (including fire, flood, earthquake, storm, hurricane, or another natural disaster), pandemic, lockdown, emergency status, capital control, and/or any restriction on cash withdrawals and/or transfers from banks, and /or financial institutions and /or companies, embargo, war, invasion, the act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power of confiscation, terrorist activities, explosions nationalization, government sanction, blockage, capital control measures, embargo, strike, lockout or interruption or failure of electricity, or any similar circumstances beyond its control.

Changes to the Terms of Use

We reserve the right to periodically revise and update these Terms of Use at our sole discretion. Any modifications become effective immediately upon being uploaded and apply to all subsequent access to and usage of the CU Pay Wallet Application.

By continuing to use the CU Pay Wallet Application after the terms have been revised, you signify your acceptance of the changes. If you disagree with the updated Terms of Use, you have the option to close your Wallet.

Intellectual Property Rights

The CU Pay Wallet application and its entire intellectual property rights content, features, and functionality are owned by the Company, its licensors, or other providers of such material and are protected by Lebanese and international copyright, trademark, patent, and other intellectual property or proprietary rights laws.

The “CU Pay Wallet” name, logo, design, and related trademarks, trade names, and service marks are the property of CU, are registered in Lebanon, and may not be used without the Company’s prior written consent.  Other trademarks, service marks, and trade names, mentioned on the CU Pay Wallet Application may be owned by third parties and are used solely for identification purposes.

 

Content

The information presented on or through the CU Pay Wallet Application is made available solely for general information purposes.

Services and Other Terms and Conditions

The terms and conditions governing transactions conducted via the CU Pay Wallet Application, as well as other services formed through the application, are specific to each transaction. These terms may differ based on the service provider and the nature of the services involved.

Links –Third-Party Service Providers

If the CU Pay Wallet Application contains links to websites or resources provided by third parties, these links are provided for your convenience only. We have no control over the content of those links or resources.

Disclaimer

WE WILL NOT BE LIABLE IF FOR ANY REASON ALL OR ANY PART OF THE CU PAY WALLET APPLICATION AND/OR SERVICES ARE UNAVAILABLE FOR A CERTAIN PERIOD.

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY DISRUPTIVE OR HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTE EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE CU PAY WALLET OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE CU PAY WALLET,

THE CU PAY WALLET APPLICATION, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE CU PAY WALLET APPLICATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION CONCERNING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE CU PAY WALLET.

We do not guarantee the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the CU Pay Wallet , or by anyone who may be informed of any of its content.

Limitation on Liability

CU MAY PROVIDE LINKS TO EXTERNAL WEBSITES MAINTAINED BY THIRD PARTIES AND/OR OTHER ACCESS TO EXTERNAL SERVICES PROVIDED BY THIRD PARTIES. YOUR USE OF SUCH SITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE CU PAY WALLET APPLICATION IS AT YOUR OWN RISK.

CU ASSUMES NO RESPONSIBILITY FOR THE CONTENT, FUNCTIONALITY, SECURITY, OR ACCURACY OF SUCH THIRD-PARTY SITES AND SERVICES. THE APPEARANCE OF ANY SUCH LINKS OR OTHER ACCESS DOES NOT CONSTITUTE ENDORSEMENT OR SPONSORSHIP OF, OR AFFILIATION WITH, THE OWNERS OR PROVIDERS OF SUCH PARTY THIRD-PARTY SITES AND SERVICES, OR THE INFORMATION, PRODUCTS, SERVICES, AND TRADEMARKS CONTAINED THEREIN OR PROVIDED THEREBY

DISCLAIMER RELATING TO BANK SECRECY

You acknowledge that you have reviewed the Banking Secrecy Law of September 3, 1956, which mandates confidentiality for individuals with access to bank accounts, transactions, or correspondence. This confidentiality is to be maintained in favor of the Bank or Financial Institution, as well as their clients. Individuals are prohibited from disclosing client names, balances, or related correspondence to any person or entity.

In consideration of the above, by providing and submitting the necessary information for registration, you explicitly waive any rights conferred by the Banking Secrecy Law. Consequently, you lift the bank secrecy obligation in favor of CU and grant explicit authorization for CU to utilize any information covered by the Bank Secrecy Law.

You expressly absolve CU from any responsibility arising from CU’s adherence to bank secrecy, particularly in cases where a third party obtains information about your bank accounts, transactions, credit cards, etc., directly or indirectly, under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, agents, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use.

Waiver and Severability

The Company’s failure to enforce any specific term or condition in these Terms of Use does not imply a waiver of that term, and such failure does not affect the Company’s right to enforce it later.

If a court or competent tribunal deems any provision of these Terms of Use invalid, illegal, or unenforceable, that particular provision will be considered null and void, while the remaining provisions will remain valid and enforceable.

Closing your Wallet

You have the option to close your Wallet and end your association with us at no additional cost. However, even after closure, you remain responsible for any obligations linked to your Wallet. It is essential to settle any pending transactions or transfers and ensure the transfer of any funds to your Wallet before closing it. Any remaining funds, subject to compliance with applicable laws and regulations governing financial services, shall be processed and remitted to you in the form of cash payment.

There are certain situations in which you may not close your Wallet, including, but not limited to:

(i) When evading an ongoing investigation;

(ii) When there is a pending transaction, open dispute, or claim; or

(iii) When subject to a wallet hold and/or limitation.

We reserve the right to close your Wallet under the following circumstances:

(i) Mandated by a legal provision;

(ii) Upon request from a judicial or administrative authority due to a Privacy Policy violation jeopardizing Wallet security, fraudulent use of the Wallet, suspicion of money laundering, terrorist financing, or any other financial crime; or

(iii) In the face of an increased risk of legal or regulatory non-compliance associated with Wallet activity, fraudulent creation of multiple accounts, or abuse of promotions offered from time to time.

Applicable Law and Dispute Resolution

The Lebanese law applies to the present Terms of Use.

All disputes arising out of or in connection with the present terms of Use shall be solved amicably between the parties. If no amicable settlement is reached within thirty (30) days, it will be subject to the exclusive jurisdiction of the competent courts of Beirut.
